What is a power of attorney in French?

In French law, a power of attorney is called a procuration or mandat. In notarial contexts, the most common term is procuration notariale. The person granting the power is the mandant (principal); the person receiving it is the mandataire (agent or attorney-in-fact).

This terminology must be translated with great care. Indeed, a certified translation of a power of attorney must be legally accurate, especially when used for a notarial or administrative procedure in France.

When do you need a certified translation of a power of attorney?

A certified translation of a power of attorney is required when a notarial deed is signed before a French- or English-speaking notary and is intended for use abroad — or conversely, when a foreign power of attorney must produce legal effects in France.

Power of attorney translation for use in France

A power of attorney translation may be required when a foreign document must be submitted to a French notary, court, bank, tax authority or public administration. The certified translation must accurately reproduce the powers granted, the identities of the principal and the authorised representative, as well as all signatures, seals and handwritten information. Depending on the country where the document was issued, an apostille or legalisation may also be required.

Special power of attorney and general power of attorney

The distinction between a special and a general power of attorney is fundamental in both English and French legal systems. This distinction must appear clearly in the certified translation — a mistranslation can alter the scope of the powers granted and create serious legal consequences.

English to French and French to English: specific challenges

I translate powers of attorney in both directions. Each direction presents specific legal challenges. An English POA drafted under common law may contain concepts that have no direct equivalent in French civil law, such as ‘attorney-in-fact’, ‘durable power of attorney‘ or ‘lasting power of attorney’. These terms must be translated with precision while respecting the legal meaning of the original document.

Conversely, a French procuration notariale drafted under the Civil Code uses terminology that must be carefully adapted for a common law readership. The aim is not to translate mechanically — the translation must remain legally faithful, clear and understandable for the notary or authority receiving the document.

Apostille and legalisation: are they required?

Between France and English-speaking countries, the apostille is frequently required for powers of attorney. France, the UK and the USA are signatories of the Hague Convention of 1961, which simplifies the legalisation process between participating countries.

Does the English POA need to be apostilled before translation?

Yes, in many cases. For powers of attorney intended for use in France, the apostille is often required by the receiving French notary. The apostille must usually be affixed to the English POA before translation. However, requirements may vary — I recommend checking with the receiving notary before starting the procedure.

How long is a translated power of attorney valid?

The translation itself does not expire. However, the validity of the POA depends on its drafting date and on the clauses included in the document. Some notaries require recent powers of attorney, often less than 6 months old. If the original POA is no longer accepted, a new POA and a new certified translation may be required.

Can I receive the certified translation only in digital format?

Yes. Since January 2024, French sworn translations can be electronically signed with full legal value. However, many notaries in France and in English-speaking countries still require an original paper version of a power of attorney — especially when the document must be attached to a public deed.

How is a substitution clause translated?

The English substitution clause is translated as ‘clause de substitution’ in French. The translation must accurately reflect the substitution powers granted — whether full, partial, conditional, limited in time or subject to specific restrictions set by the principal.

What if the POA is handwritten or contains handwritten annotations?

All handwritten annotations, signatures, initials, corrections, dates or added clauses must be translated or described faithfully. If the entire POA is handwritten, the translation includes an appropriate descriptive note about the document’s format and legibility.
